98 XJR trans. Does this sound right$$?

first off thanks for reading. I just bought/today/e-bay a 98XJR to say the car is mint body/interior/motor etc is an understatement. 7k in work done in the past 10 months. 

It has a grumbling sound coming from the transmission when it is in park and idling, goes away when in gear, shifts and drives perfectly.  Any ideas?

My dealer says if it needs a rebuild it will cost 3k plus 8hrs labor.  Does that sound ok?

It is being shipped as i write and will be at the dealer late Monday or Tuesday.

I wanted feed back of what might be the issue? If it is the transmission and needs to come out, should i replace anything else while the trans is down? and lastly am I paying to much for a rebuild? the labor sounds fair enough.

The 3k is steep for a rebuild unless they are replacing the tranmission with a rebuilt unit.

Noise could be the torque convertor.
