That seems like a lot of money for a high mileage 4.0 litre pre first facelift car, but I admit I know nothing about US prices. I paid the equivalent of around $2500 for my 2003 S Type SE 4.2 with just over 100K miles around 8 months ago in UK

Have the timing chains, guides and tensioners been replaced?
+1. I'd look for a later model....only because the Achilles Heels get worked out in later models, and good deals are plentiful. Check Craigslist in your area. They pop up frequently. Otherwise, see if the maintenance records are available that addresses the nuisance items associated with Gen 1 S-Types. Happy Hunting!
Agreed, the price seems a bit high.
Should you buy a pre- or post-facelift car? Which is better? As far as the "bugs being worked out" on the later cars, I'm not entirely sure about that. For example, my '02 V6 has about 280k miles on it, and never once has it given me the parking brake fault so common 2003+.
Back to this particular example, are you sure you want black? I've owned one black car, never again. Got hit twice, as it seems people just don't see you sometimes. The black paint magnified every little ding and was a chore to keep clean, too. Black leather seats? In Texas? Me thinks that might be a tad toasty on one's backside if parked in the sun. I guess wearing pants might help, but am not willing to find out.

Whatever you do get a 2003+ Anything before 2003 will have major issues, even if they are lower mileage. I practically gave away mine ($1.5K) because of the parasitic battery drain and the transmission replacement it needed. On the outside it was beautiful, the buyer who drove it, loved the engine/power, but I knew he would be putting at least 3K into the car pretty soon and never pinpoint the battery drain. I wanted someone to love it, so, thus the low price. Unless you are interested in restoring the S-Types, you're better off getting something 2005 or above.
