Yes it will, and I have one with 107,000 miles on I'll sell you if you like. I also have a propshaft but will have to get back to you on whether the 4.0's fits the XJR. I'm in Liverpool.

I got a diff delivered in the usa for 270usd, and a propshaft for 190 usd. Eat your wheaties before you do the job. The bolts are big and tight and the parts are heavy. As for the any diff issue, there are really two different ratios, a 3.08 and a 3.27. While I am sure both will work, I made sure I got the correct one, which was a 3.08 on my 2003 xjr r1, because I was worried about a gear fault putting the ecu into limp home mode if the wheels were not spinning at the speed the ecu thought they should. Maybe somebody else knows if it makes a difference to the ecu, but I played it safe. I would have rather had the 3.27, but settled for what it came with.
The only application for the 3.27 ratio diff is for the Mexican market. They use it in non supercharged cars (something about fuel quality effecting performance). I have a TCM for a supercharged car programmed for 3.27 ratio, it was in my car for a short time.
