No, it wont.
Looks like compatibility is 2.5 and 3.0L from 2002 through 2004.

2005 and 2006 have a different TB than the earlier models.

 

They say it wont but 90% of the parts do. as with the steering wheels. They say they are not but they fit jus fine. All plugs work just fine. I would say it would fit. I got one from a 2005 and put it on my 2003 with no problem.

 

My mechanic replaced the chip out of an S-type 3.0L into my 2002 X-Type 2.5 without any problems in March 2012
