I'm assuming you are talking about an engine noise?
Some ticking from the injectors and valve train is normal. If it's closer to a clacking than a ticking, you might have a tappet guide coming loose. Bad. You can check for this by pulling the cam covers and visually inspecting for the guides contacting the camshaft.

Two things as suggested by my mechanic:
1. First remove the cam and 'tap down' the guide (a process I defer to the mechanics) if you find one that's loose.
2. Obtain a tappet stakedown kit and have it installed to prevent the problem 'popping up' in the future.

Jagbits (Jaguar stakedown kit XJ6) had them, I recall. Coventry might as well.

the motor also has only 115kmiles on it but it sat for 5 years. Coventry West, Inc. - Online Store so this is what i need?
Have you checked the tappet clearances ? You mentioned the car stood for 5 years. You could have a bent inlet valve due to it being lazy coming back off the cam due to lack of oil on the guide. I had this happen to me after my car had stood for several years. It's a head-off job unfortunately. However this would affect the running of the car, but you don't say anything about this.
well im gonna do a full tune up too it and see if that helps. i will also be getting rid of the cat converter (where the exhaust leak is) and getting a new muffler. any suggestions? how do glasspacks sound on these?
Prior to modifying the vehicle by removing the catalysts, it might be wise to check with the local motor vehicle department for your state to determine if it is legal to do so. If the vehicle is subject to periodic emissions testing, it will fail with the catalytic converters removed.
The posting on this thread have given you good advice regarding the tappet 'stake down' kits available from several vendors. They are relatively simple to install and can prevent catastrophic engine failure if a broken piece of one of the exhaust tappets finds its way into the timing case.
If one of the valves has begun to stick, the cylinder head will need to be removed and decarbonised.
