replace all 4 shocks with non-CATS shocks? I think you can get aftermarket shocks to replace them.
I'd check in the JEPC or similar to find out exactly which part no is the CATS shocks. Here's one that has a bunch of options listed, though the desc of the fronts is somewhat confusing as to CATS or non-CATS. Part 8, i think the earlier 450ish shocks listed are the CATS ones.

I've traveled far down this road for both.
Easiest for seat would be finding a replacement. Though location and availability can be an issue. For that, I would fill and paint. With a bit of work and an airbrush the seats can be even better.
CATS
There are 3 routes to go.
1. New Bilsteins. Call it $300 each and take a month to get (possibly longer).
2. Rebuild CATS Bilsteins. $200 each and 90 days likely.
3. No Active Dampening and replace with regular/non-electronic shocks. Both sport and comfort Bilsteins available as well as other brands. RA has them for $100 each but I do not recommend buying from them. (Bought a transmission service kit from them listed as it working for my car and way not right. They refused to return it.)
*Source: Neighbor works for Bilstein US, took a tour of their facility recently. I've been thinking about taking the ACD off myself......

OP, have a look at my wifes old XJ's interior. From your pics, hers was worse off than yours. I redyed it for $45? and about half a days work. Its not rocket science and really makes a difference.

Check with Harvest14, he just did his shocks and I believe they were CATS. He is diligent about searching the best deal, I'd look him up for what he paid.

Had my seats redone by an upholster about 2 1/2 yrs ago. Had the steering wheel, front/back seats and arm rests dyed. My steering wheel was fairly rough, looks nice now. The upholster only replaced a few panels (center on driver, seems were tearing and one front edge pass.), sanded a bit and the whole thing ran $800. Far cheaper than the $2400 I was quoted twice to replace.
Had the interior redone over a year ago.
