There is a post (#33) from Jose on this page describing those things. Apparently they are supposed to have a felt lining to keep them quiet

they are ventilation flaps, the interior air is vented through those flaps;
the air goes out through the main center vent located on the rear parcel shelf behind the rear seat, and through 2 other vent flaps located behind the rear seat Back.
the factory glued headliner fabric to the thin metal flaps that are rivetted and free-hanging. The glue dries out and the fabric falls off, creating a "goat bell" noise when the doors are closed and/or when the car is moving.
to fix the problem permanently, you need to remove the drain pan which collects roof water and grime, this large pan is located under the rear parcel shelf. Access is through the trunk on your back. There is a piece of cardboard and yute insulation that is removed first, then you can see the nuts around the edges. The panel is also semi-glued with black caulking / sealant around the edges, the panel needs to be pryed off carefully once all the nuts are removed and the two drain hoses disconnected.
Once off the car, you can clean it, paint it if needed, and fix the flaps.
If you don't have headliner fabric (who does?) go to Joann's Fabrics or Michael's Crafts and buy a sheet or two of the thick Felt and using contact cement, cut and glue new pieces to the flaps on the side that contacts the cowl vent holes.
