My XJR had such a cover. From memory (ha ha) there are two bolts at the extreme ends and two lower bolts, the lowers being located just above the area where the downpipes mate up to the manifolds.

You said you are removing it to clean it? I would liker to know what you find or how it looks when it is removed if you could take some pics. I hear loud ticking and cannot find where it is coming from. Loud when accelerating and I think I may have an exhaust gasket leak.
I'll see what I can do but I've had to abandon Ship on that for the moment, as I want to try and remove the IRS on 'The Ice Princess' or at least get a bit further on with it during this spell of nice Weather we are supposed to be having

That could very well be a cracked exhaust manifold, so very common on AJ16 engines. It's usually a slight chuffing noise when cold that disappears in a few minutes as the manifold warms and seals the crack. Pull off the shield and look carefully and you'll see if there's one there. See my pic below and you can just see a light brown vertical stripe running through the "HF2" logo.

Is your chrome badly damaged? The shields respond well to really good cleaning. Try an abrasive chrome polish first.
After you take the Bolts out to remove the Exhaust Heatshield (XJS 4.0L) the Holes that you are left with are Blocked off, so even with those bolts removed, no exhaust gas can escape
Maybe yours could be cracked like Paul (ptjs) has said?
Paul: I will try some abrasive polish and I also got a 'Leaf Blower' (great idea!)
